Any joint venture agreement between partners is really an agreement built
of component parts, based on the goals and needs of the partners involved.
It's a business venture so you've got to analyze the components. Some
components are fixed, and some are variable, but the sum total must be
fair and meet the needs of both parties. Now, there are some certain fixed
components in the standard partnership agreement which don't need negotiating. These basic
building blocks include statements about the following:

+ What is it ... a single family house, an apartment building, a duplex? It
needs to be stated.
+ What is the purpose of the venture ... to buy it and wholesale it, to fix it and
sell it for retail, to hold for rental?
+ What is the business address?
+ What is the effective date of the venture going to be?

Where are the books held?
+ What bank account is going to be used?
+ What is the intended result ... are you going to have a statement that there's a
profit or a guarantee, or are you going to purposely say there is no
guarantee?
+ What is the responsibility of the parties ... who is going to do what?
+ What is the mechanism for changing the agreement ... are you ever going to
change it, and if so, what does it take to do it?
+ What is the mechanism for handling the dissent of the parties ... and if you
disagree, what are you going to do?
